These terms and conditions (“Terms and Conditions”) govern the provision of products and services and any associated transactions by BHT - Unipessoal Lda. (hereinafter, “BHOUT” or “BHT”) through the www.bhout.com website (hereinafter the “Website”) and/or the BHOUT application (hereinafter the “App”).
The Website and the App are owned by BHT - Unipessoal Lda., a sole proprietorship limited liability company with registered office at Rua de Carvalha, nº 570, 2400 - 441 Leiria, registered with the Commercial Registry Office under the single registration and legal person number 515724637, with a share capital of €5,000.00, e-mail ask@bhout.com.
These Terms and Conditions are available in Portuguese and English.
In the event of any discrepancies between the Portuguese and English versions, the Portuguese version shall prevail.
Throughout this document, the terms “Company”, “We”, “Us” or “Our” shall refer to BHT/BHOUT. When we refer to “user”, “customer”, “You” or “Your”, we refer to you, the person who is visiting our Website and purchasing our products or services through it.
1.1. Accessing and contracting any BHOUT product or service, implies acceptance of these Terms and Conditions, so it is important that you read them carefully.
1.2. BHOUT reserves the right to change these Terms and Conditions without prior notice, and any changes will be published on the Website. Changes to the Terms and Conditions will only apply to orders and transactions placed after their publication date on the Website, as per clause 16. below.
1.3. BHOUT shall place these Terms and Conditions in a visible and freely accessible location for any user wishing to consult it.
1.4. In the event of a breach of these Terms and Conditions, or should BHOUT reasonably suspect that such a breach is taking place, BHOUT reserves the right to limit, suspend, or terminate the user's access to the Website, as well as to suspend or cancel the execution of the order for the BHOUT BAG Kit, adopting any technical measures necessary for such purposes. Furthermore, BHOUT reserves the right to decide, at any time, on the continuation of the products and services offered through the Website.
2.1. BHOUT makes the following services and products available through the Website (hereinafter the “Services”):
2.2. BHOUT BAG
2.2.1. Users can express their interest in purchasing the BHOUT BAG Kit by placing a pre-order of the BHOUT BAG Kit through the Website. At the moment, BHOUT does not yet directly sell the BHOUT BAG Kit through the Website, only allowing users to express their interest and pre-order BHOUT BAG Kit, in order to be included in a waiting list for the purchase of the BHOUT BAG Kit.
The BHOUT BAG Kit includes:
• BHOUT BAG for wall mounting;
• Boxing Glove Kit and Inner Gloves;
• fixed or elastic resistances to support strength training;
• Free 12-month access to all features of the App.
By placing a pre-order of the BHOUT BAG Kit, users also receive:
a) Additional Products: By pre-ordering the BHOUT BAG Kit, the user also receives an option to purchase: (i) a stand-alone station - so that the bag can be detached from the walls, and (ii) a “Kiosk Screen” - to use the App (hereinafter the “Additional Products”). The price of these Additional Products will be communicated to users before they complete the pre-order of the BHOUT BAG Kit.
b) Early adoption benefits: the user who pre-orders the BHOUT BAG Kit will benefit from early adoption benefits, which will only be applicable to these users. All these benefits are duly communicated on the Website before the pre-order is placed.
2.3. BHOUT CLUB
2.3.1. Users can purchase different plans for access and use of the BHOUT CLUB or purchase and schedule sessions at the BHOUT CLUB, where they can hold classes/sessions and have access to the BHOUT BAG, as defined in the internal regulations of the BHOUT CLUB, which can be consulted, permanently, on the Website and on the App. Sessions purchased through the Website can be used in any of our BHOUT CLUB, whether they are managed by BHOUT directly or by any other legal entity or natural person that, with the authorisation of BHOUT, assumes the management and operational control of a BHOUT CLUB (including any franchisee, licensee or management company).
2.3.2. To this end, users must register on the
Website (as described in clause 3 below) and complete the payment associated with each plan or session subscribed to BHOUT CLUB. Users may, before completing the subscription payment, go back and change the included data in order to correct any error.
2.3.3. Access to and use of BHOUT CLUB is regulated by its internal regulations, which can be consulted permanently on the Website and App.
2.4. BHOUT APP
For full use of the BHOUT BAG, users must download and subscribe to the App, where the results of the use of the BHOUT BAG will be made available, allowing users to follow its evolution.
3.1. Users may register on our Website in the “My Account” section. To complete the registration, you must provide the following information:
• First name.
• Surname.
• Email Address.
• Phone Number.
3.2. Users undertake to provide only correct, complete and up-to-date information and personal data. It is the responsibility of users to inform BHOUT of any change to the personal information or data provided to BHOUT. The user shall be solely responsible for the truthfulness, accuracy, and up-to-date nature of the information provided, undertaking to ensure that such information remains correct and current at all times. Consequently, BHOUT shall not assume any liability whatsoever for any direct or indirect damages or losses that may arise from the provision of inaccurate, incomplete, or false information by the user, to the extent permitted by applicable law.
3.3. We reserve the right to suspend or delete your registration and associated benefits if it is detected that you have engaged in abusive, illegal or fraudulent behavior in your account or on our Website.
4.1.1. To express your interest in purchasing the BHOUT BAG Kit and pre-ordering the BHOUT BAG Kit, the user must select the “Join waiting list” option and provide the required data: first name, surname, e-mail, country of residence number. Optionally, the user can also provide the telephone number, the identification of the employer, his professional position and other data provided through the written message.
4.1.2. After providing the required data, the user will be included in a waiting list for the purchase of the BHOUT BAG Kit and will subsequently be contacted directly by BHOUT via e-mail, where the next steps to pre-order the BHOUT BAG Kit will be indicated.
4.2. Payment
4.2.1. The price and payment terms for the purchase of the BHOUT BAG Kit will be specified at the time of purchase and payment of the pre-order. Payments will always be processed in Euros.
4.2.2. The payment of the pre-order will ensure that the user is able to complete the purchase of a BHOUT BAG Kit and, if desired, the possibility of purchasing one of the Additional Products, in accordance with the delivery times defined below. The amount paid by the user for the pre-order will be deducted from the total amount of the future purchase of the BHOUT BAG Kit.
4.2.3. Pre-orders shall only be processed once full payment of the corresponding amount has been liquidated. An invoice shall be issued to the customer at the time the reservation is made.
4.2.4. How you can pay: The accepted payment methods are debit cards, credit card and PayPal. Payment data shall be transmitted in an encrypted and secure manner through a certified payment gateway, thereby ensuring the confidentiality of the information.
4.2.5. Payment verification: Payments made by credit or debit card are subject to verification and authorization by the card-issuing entity. Should such entity fail to authorize the transaction, the order shall be deemed automatically cancelled, and the Company shall not assume any liability whatsoever for non-delivery or for any delay resulting from such circumstance, to the extent permitted by applicable law.
4.2.6. Security of transactions: To minimize the risk of unauthorized access, data relating to means of payment shall be processed using SSL (Secure Socket Layer) encryption protocols or other equivalent technological security systems.
4.2.7. Shipping costs: To the price of the BHOUT BAG Kit the shipping costs will be added. The shipping costs will be calculated and transmitted to the user at the time of completion of the pre-order, depending on each order and the address indicated by the user.
4.3. Changes or Cancellation of Pre-Order:
In the event of unavailability of the BHOUT BAG Kit, BHOUT will inform the user of such unavailability and return to the user the amounts already paid. If you wish to cancel a pre-order, you must communicate this intention to hello@bhout.com so that we can refund 100% of the amount already paid by you.
4.4. Suspension or Cancellation of the BHOUT BAG Kit order:
4.4.1. BHOUT may suspend or cancel the execution of the BHOUT BAG Kit order, regardless of its nature or stage of processing, in any of the following circumstances:
(i) Total or partial non-payment of the amount due;
(ii) Any incident or error detected during the payment process;
(iii) A well-founded suspicion of fraud or attempted fraud in the use of the website or the payment method.
4.4.2. In such cases, BHOUT shall duly inform you through the available communication channels, without prejudice to any legal actions that may apply.
5.1. Delivery times: The production and market of the BHOUT BAG Kit is still in its early stages. Therefore, BHOUT will communicate to users that have placed a pre-order of the BHOUT BAG Kit when the BHOUT BAG Kit is available for final purchase. The timelines and estimative for the final purchase of the BHOUT BAG Kit shall be revisited and analyzed by BHOUT every 6 months, and the respective conclusions shall be communicated to users that have placed a pre-order of the BHOUT BAG Kit.
5.2. Delivery location: The delivery of the BHOUT BAG Kit will be made to the address provided by the user during the pre-order. Please ensure that the delivery information is correct before completing the BHOUT BAG Kit order.
5.3. International shipments: In the case of international shipments, we are not responsible for any customs fees, as well as delays in delivery to the destination country that are not attributable to BHOUT.
6.1 Unavailability of BHOUT BAG Kit
In the event of unavailability of the BHOUT BAG Kit, BHOUT will inform the user of such unavailability and reimburse the amounts paid, within a maximum period of 30 (thirty) days from the date of knowledge of the unavailability.
6.2 Verification upon receipt of the BHOUT BAG Kit
We ask that you always check your BHOUT BAG Kit order as soon as you receive it, in order to check for any existing damage. If you detect any damage, you must inform BHOUT within 30 (thirty) days of receiving the BHOUT BAG Kit using the contact details set out below in clause 19 “CUSTOMER SUPPORT AND CONTACT”.
6.3. Right of free withdrawal
BHOUT BAG Kit
6.3.1. Consumer users who purchase the BHOUT BAG Kit have a period of 14 (fourteen) days, counting from the day on which the consumer or a third party, with the exception of the carrier, indicated by the consumer, acquires physical possession of the BHOUT BAG Kit, to exercise their right of free withdrawal.
6.3.2. In order to exercise your right of withdrawal, you must communicate your decision to withdraw from this contract by means of an unequivocal statement (e.g. postal mail to the address of BHOUT's registered office, or email to ask@bhout.com), and may use the “Free Withdrawal” template available on the main page of the Website.
6.3.3. In the event of exercising the right of free withdrawal from this contract, the user must return the BHOUT BAG Kit, without undue delay and no later than 14 (fourteen) days from the day on which he informed BHOUT of the free termination of the contract, accompanied by the respective original invoice. The return costs will be the sole responsibility of the user, who must always keep proof of shipment of the BHOUT BAG Kit.
6.3.4. Once the above conditions have been met, BHOUT will reimburse the user for all payments made, including delivery costs (with the exception of additional costs resulting from the possible choice of a shipping method other than the least expensive standard shipping method offered by BHOUT), without undue delay and, in any event, no later than 14 (fourteen) days from the date on which BHOUT is informed of Your decision to terminate this Agreement. BHOUT may withhold the refund if the BHOUT BAG Kit is not received or if the user does not provide proof of the return of the BHOUT BAG Kit.
6.3.5. The user may inspect the nature, characteristics and operation of the BHOUT BAG Kit as it is admitted in a commercial establishment. Any depreciation of the BHOUT BAG Kit attributable to the user will be taken into account for the exercise of the right of free withdrawal. All BHOUT BAG Kit will be checked by BHOUT upon arrival at our establishments and if the returned BHOUT BAG Kit is not in good condition, BHOUT will take the necessary and admissible measures under Decree-Law No. 24/2014, of 14 February.
BHOUT CLUB
6.3.6. Consumer users who purchase a subscription to a plan or a session for the use of BHOUT CLUB have a period of 14 (fourteen) days, counting from the day of conclusion of the contract, to exercise their right of free withdrawal.
6.3.7. In order to exercise your right of withdrawal, you must communicate your decision to withdraw from this contract by means of an unequivocal statement (e.g. postal mail to the address of BHOUT's registered office, or email to ask@bhout.com), and may use the “Free Withdrawal” template available on the main page of the Website.
6.3.8. In case the consumer uses BHOUT CLUB, intending that the provision of the service begins within the period of 14 days provided for in number 6.3.6, the consumer consents and acknowledges that if the contract is fully executed, the consumer loses the right of free withdrawal. If the consumer exercises the right of withdrawal after the start of the provision of services by BHOUT, the consumer will have to pay BHOUT the amount proportional to what was actually provided up to the time of communication of the withdrawal. If BHOUT has already received payment from the consumer, BHOUT may withhold the amount proportional to the services already provided.
6.4. Customer satisfaction policy
6.4.1. In addition to the right of withdrawal indicated above, under BHOUT's customer satisfaction policy, BHOUT allows consumer users (who purchase the BHOUT BAG Kit for private and personal purposes) to return (terminate the contract) the BHOUT BAG Kit without incurring any costs, provided that such intention to return is communicated to BHOUT within 30 (thirty) days from the date on which the user or a third party indicated by him, other than the carrier, acquires possession of the BHOUT BAG Kit. To proceed with the return under the terms of the Customer Satisfaction Policy, you must return the BHOUT BAG Kit in the same condition in which it was sold, without risks, without external damage or signs of use and in perfect working condition, packed in its original packaging and accompanied by the user manual and all its accessories.
6.4.2. Return procedure: To return the BHOUT BAG Kit, in cases where the return is possible under the terms indicated in number 6.4.1. above, please send us an email to ask@bhout.com with an explanation of why you wish to proceed with a return and attaching the corresponding invoice.
6.5. Refunds
Where reimbursement is due under the provisions of clause 6.3. and 6.4. above, BHOUT will refund the amount through the same means of payment that was used by the consumer in the initial transaction for the purchase of the Service. It is the user's responsibility to keep their information updated on the Website.
7.1. At the time of subscribing to the plans for the use of BHOUT CLUB, the user is informed of the validity period/number of sessions available in each plan.
7.2. At the end of the period of each plan subscribed by the user, this contract will be automatically renewed for the same period and with the same number of sessions, except in case of opposition to the renewal, by either party, with 15 (fifteen) days notice in relation to the renewal date. In the event of renewal, the price of the plan will be updated to the amount indicated to the user at the time of subscribing to the plan.
8.1. Except in the case of intent or gross negligence on the part of BHOUT, BHOUT shall not be liable:
• for any damage resulting from the use of the BHOUT BAG Kit;
• for any failure or delay in the delivery of the BHOUT BAG Kit for reasons attributable to the user, for example, due to an error or insufficiency of the data communicated by the user, namely the address provided, or any other elements necessary to complete their BHOUT BAG Kit order or process payment;
• for the delay in the delivery of the BHOUT BAG Kit, due to traffic conditions, weather conditions or any other unforeseen circumstances;
• for any loss or damage, direct or indirect, caused or arising out of the permanent or temporary unavailability of the Website;
• for any consequences arising from the misuse of your account, including misuse caused by failure to keep your codes and passwords confidential and secure.
8.2. Nothing in these Terms and Conditions excludes BHOUT's liability for any damage caused to the life, moral or physical integrity or health of persons or for non-contractual property damage, caused to the user or to third parties.
9.1. The user undertakes to comply with and respect these Terms and Conditions, and namely:
• not to use the Website, your account or the account of any third party for fraudulent or abusive activities;
• to ensure the security and confidentiality of the username and password that allow access to your account;
• to use the Website in accordance with these Terms and Conditions, the Privacy Policy, the Cookies Policy and applicable laws and regulations;
• to pay in a timely manner all costs and charges relating to orders you place on the Website;
• To refrain from introducing, storing or disseminating through the website defamatory, obscene, insulting, xenophobic and/or any other content that violates the general principles of law and public order;
• Not to use false identities.
9.2. BHOUT reserves the right to delete the account of a user who fails to comply with any of the obligations of these Terms and Conditions.
We may suspend, block, interrupt or terminate access to the Website, for all or only for one or more users, in the following cases:
• When necessary, due to technical, strategic, legal or business constraints;
• When necessary to ensure the security of, inter alia, communication channels, equipment or information;
• When we have strong suspicions of fraudulent or abusive use, by you or by a third party, including the use of robots, spider, crawler, scraper or other automated means or interface to access the platform or extract information from other users;
• When required for the management, maintenance, repair, modification or upgrade of the operations of equipment, systems or any of the functionalities of the Website;
• In other duly justified circumstances, including, in particular, in the event of a breach of your obligations under these Terms and Conditions.
11.1. All copyrights, trademarks and other intellectual or industrial property rights inherent to our products, texts, images and other content in general, shared on our Website, are our property or are being used by us with the authorization of the respective owner.
11.2. Accessing, viewing or downloading content from the Website must respect the intellectual property rights that protect such content. It is prohibited to extract, use, reproduce or disseminate the content of the Website for commercial purposes and to alter or incorporate it in any article, publication or other website.
11.3. Nothing on this website may be interpreted as granting any license, authorization or right to use any intellectual property right. The incorrect or abusive use or use of the brand, product, service or any other content of this Website is expressly prohibited, except as provided in these Terms and Conditions.

13.1. We collect and process personal data from the Website and/or the App users and customers strictly in accordance with the Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data(GDPR) and applicable data protection laws.

14.1. Under the terms of the legislation in force, the BHOUT BAG sold to consumers (natural person acting for purposes that are not included in the scope of their commercial, industrial, artisanal or professional activity) by BHOUT is covered by a legal guarantee of conformity of consumer goods corresponding to a period of 3 (three) years under the terms of Decree-Law No. 84/2021, of 18 October.
14.2. In the case of users who are not consumers, the complaint of the defect or lack of quality of the BHOUT BAG must be made within 30 days after the defect is known and within six months after the delivery of the BHOUT BAG.
14.3. If the purchased BHOUT BAG is defective or malfunctioning, the user must report the situation to BHOUT, informing the BHOUT BAG Kit order number and the description of the defect or malfunction, through one of the following means:
(i) Email: ask@bhout.com;
(ii) Registered mail with acknowledgement of receipt: Rua de Carvalha, nº 570, 2400 - 441 Leiria;
14.4. The user must always and in advance contact BHOUT, through the means indicated above, before sending the BHOUT BAG for evaluation. The costs of returning or collecting the BHOUT BAG within the warranty period will be borne by BHOUT.
14.5. Upon receipt of the BHOUT BAG at the address indicated by BHOUT, it will be verified, and, if the lack of conformity is proven, BHOUT will restore the conformity of the BHOUT BAG, through repair, replacement, price reduction or termination of the contract, according to Decree-Law No. 84/2021, of 18 October.
14.6. The legal warranty of consumer goods does not cover signs of wear, misuse, and/or any problem attributable to the user that may have caused the defect or malfunction of the BHOUT BAG (e.g. fall, humidity, intervention of an unauthorized technician, etc.).
14.7. Users are hereby informed that, in relation to consumer goods, the producer of the same is obliged to provide the parts necessary for their repair within a period of 10 years after the last unit of the respective good is placed on the market.
15.1. BHOUT shall not be liable for any failure or delay in the performance of its obligations when such failure or delay is due to force majeure, understood as any unforeseeable event or circumstance, or if foreseeable, unavoidable, which is beyond our reasonable control and substantially hinders or prevents the performance of contractual obligations.
15.2. By way of example and without limitation, the following shall be considered force majeure events:
(i) Strikes, lockouts, or other industrial action;
(ii) Civil unrest, riots, uprisings, invasions, terrorist attacks or threats, war (declared or undeclared), or war preparations;
(iii) Fires, explosions, storms, floods, earthquakes, subsidence, epidemics, pandemics, or any other natural disaster or catastrophe;
(iv) Inability to use public or private transportation;
(v) Inability to use public or private telecommunications networks or digital services;
(vi) Acts, decrees, legislation, regulations, or restrictions imposed by any government or competent public authority.
15.3. During the period in which a force majeure event occurs, the affected obligations shall be
suspended, and the time limits for performance shall be extended by a period equivalent to the duration of such event.
15.4. We will make all reasonable efforts to bring the force majeure event to an end or to find a solution that allows us to fulfil our obligations despite the force majeure event.
16.1. These Terms and Conditions may be amended at any time in order to ensure their compliance with the applicable legislation.
16.2. These Terms and Conditions may be amended at any time in order to incorporate updates to the procedures for the collection, processing and retention of information, as well as to reflect the introduction of new products or services, functionalities or operational conditions, or the removal or modification of existing ones. In this situation, such amendments shall be effective and fully enforceable from the moment of their publication on this Website for users that have acquired or contracted our services after the date of publication of such amendments. In what regards users with a prior and in force contractual relationship, users shall be notified of such amendments with 30 days prior notice to the date on which the amendments take effect and shall be given the possibility to terminate this agreement.
16.3. Users are advised to review the contents of these Terms and Conditions periodically and on a regular basis, in order to remain duly informed of the conditions in force at any given time.
17.1. The possible declaration of nullity, invalidity, or unenforceability of any of the provisions contained in these Terms and Conditions, whether in whole or in part, shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and binding.
18.1. The access, use, and navigation of this Website, as well as any legal relationship arising therefrom or from the documentation linked to its use, shall be governed and interpreted in accordance with the applicable law of Portugal.
18.2. Any dispute, question, or claim that may arise regarding the interpretation, execution, or performance of these Terms and Conditions—including any related document or content—shall be submitted to the jurisdiction of the competent Courts of Portugal, unless applicable law mandates a different forum.
18.3. You may apply to the competent courts or Alternative Dispute Resolution entities below for the resolution of any dispute. By express option of consumers, consumer disputes of low economic value (those whose value does not exceed € 5,000) are subject to necessary arbitration.
